How to Register a Bulgarian Company Remotely?

Preparing the Company Registration Documents

To register a company in Bulgaria remotely, you need to prepare the following documents:

Notarized Documents and Apostille

Since you will not be physically present in Bulgaria, you must issue a Power of Attorney (PoA) authorizing a local representative to handle the registration process.

  • The PoA must be notarized and apostilled in your country.
  • A declaration (affidavit) confirming your signature as managing director is also required. This can be notarized at a Bulgarian embassy or by a local notary. If using a local notary, additional legalization may be necessary.

Opening a Temporary Bank Account

Before submitting the documents, you must deposit the minimum capital of BGN 2 into a temporary (initial) bank account.

  • The procedure usually takes 1 to 3 business days.

Accounting and Tax Obligations

After successful registration, the company must comply with Bulgarian tax regulations. It is mandatory to:

  • Appoint a local accountant to prepare monthly tax declarations, annual financial reports, corporate tax returns, and VAT filings (if VAT registered).
